1. Platform License Grant & Delivery Tiers
ZeroDriveX LLC (“ZDX”) grants you a limited, non-exclusive, non-transferable, revocable commercial license to deploy the Parallel Pyxel VM interpreter, the Modular Agent Framework, and associated execution tooling (collectively, the “Platform”). Licensing compliance is measured and bound structurally by the number of authorized runtime targets and assigned multi-tenant coordinate maps.
2. Hardware Key Validation & The Isolation Layer
Multi-tenant security and cross-client boundaries on the Platform are structurally enforced via physical or logical hardware tokens containing a dedicated, organization-specific customer.map.json profile.
- Execution Controls: You acknowledge that modifying, duplicating, or attempting to spoof a compiled coordinate matrix to bypass structural runtime boundaries is a material violation of this agreement and will cause immediate, automatic termination of the runtime engine.
- System Fail-Safes: The Platform is engineered to drop execution instances instantly if an agent pipeline requests out-of-bounds index reads or unauthorized opcode manipulations. ZDX holds no liability for operational data losses resulting from automated safety containment actions.
3. Acceptable Use, Scopes & Testing Bounds
- Immutable Instruction Sets: Users are explicitly prohibited from running variable-length buffer manipulation attacks or attempting to reverse engineer the native 24-bit fixed-width pixel-to-byte decoding interpreter.
- Authorized Automated Operations: Because the Platform facilitates local agent automation, workflow chains, and diagnostic testing routines, you guarantee that all scripts, tools, and execution runs are deployed exclusively within systems and networks where you possess documented authorization.
- Sovereign Infrastructure Integrity: Bypassing local security controls, hardware token verification cycles, or built-in validation frameworks constitutes a breach of federal trade regulations and international intellectual property statutes.
4. Data Custody, Sovereignty & Model Weights
The Platform functions primarily as an on-premise, edge-native architecture.
- Absolute Data Custody: ZDX does not ingest, proxy, mirror, or stream your pipeline logs, prompt contexts, or local database architectures to cloud environments. All system context remains strictly inside your designated local environment.
- Model Weights: Ownership of underlying LLM weights (e.g., Llama, Qwen formats) and customer-specific training matrix offsets remains entirely yours or is governed under respective upstream open-source licenses.
5. Open Source Compliance & Corporate Audit Rights
To facilitate absolute security assurance within regulated legal, financial, or state-level software environments, ZDX provides complete technical transparency:
- Auditing Clearances: Authorized security officers operating under an active Sovereign Enterprise License are granted full clearance to inspect the core codebase of the VM platform to perform validation mapping and schedule-independent security audits.
- Open-Source Isolation: Any open-source modules integrated within the decoupled runtime stack remain completely separated and subject to their original licensing frameworks, causing no upstream code taint.
6. Warranties & Enterprise Liability Caps
EXCEPT AS EXPLICITLY PROVIDED IN A SIGNED ENTERPRISE SLA, THE PLATFORM IS DELIVERED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZDX LLC CAP-LIMITS TOTAL LIABILITY TO THE EXACT AMOUNT PAID BY THE CUSTOMER FOR THE PLATFORM LICENSE WITHIN THE TWELVE (12) MONTHS PRECEDING ANY LEGAL ACTION.
7. Jurisdiction & Governing Law
This agreement is governed wholly by the laws of the State of Delaware, USA, without regard to conflict of laws principles. All formal legal proceedings regarding platform licenses or intellectual property disputes must be resolved within Delaware state courts.
